CoinWallet Terms of Service

The foundational document outlining the terms and conditions governing your interaction with CoinWallet (Coinsdo Wallet on App Store). Thank you for your dedication to understanding and upholding our Terms of Service.

CoinWallet Terms of Service

CoinWallet (listed as CoinsDo Wallet on the Apple App Store)is a non-custodial wallet (“wallet application” or “App”)) and is provided to you by CoinsDo Pte. Ltd. (“CoinsDo”, “we”, “our” or “us”), company incorporated and registered in Singapore (UEN ID is 202023577M).

CoinWallet application enables users to (i) receive and send supported digital currencies to other recipients; (ii) create a new private key; (iii) import and/or export existing private key(s), include but not limited to CoinWallet; and (iv) authorize transfer of supported digital assets with the wallet passcode or biometrics you set (collectively the “Services”). These terms of services (“Terms”) will apply to your use of the CoinWallet application. These terms constitute a legal agreement between you and CoinsDo and govern your access to and use of all versions of the wallet.

Agreement to Terms

By clicking “I Agree” or by accessing the App or using any or all of the Services, you agree to be bound by these Terms. If you don’t agree to be bound by these Terms, you may not access or use the Services.

Definition

Non-custody: means the user is soley in control of his or her digital assets.

Supported digital assets: means all the digital assets of the supported mainnets/agreements on CoinWallet, which may be updated with or without notice at our sole discretion from time to time.

Wallet password: means the password that you set during the process of creating a new private key. Such password is not stored in your mobile device or our server and you have to keep it safe. If you have forgotten it, you will have to re-download our App and import private key to retrieve your digital assets. If the wallet password has been lost or leaked, you may have the risk of losing all the data and the associated digital assets.

Private key: it is a variable in cryptography that is used with an algorithm to encrypt and decrypt data. Mnemonic phrase, address private key and keystore are collectively called “private key” in these terms of service and CoinWallet App.

Mnemonic phrase: our App utilizes BIP39 standard to provide a 12-words phrase which are randomly chosen from the standard BIP39 wordlist.

Keystore: a keystore can be a repository where private keys, certificates and symmetric keys can be stored. It is typically a file and is only stored in your mobile device, instead of our server.

Create private key: means you can create a new wallet via CoinWallet.

Import private key: means you can import the mnemonic phrase or private key address or keystore file to restore your assets.

Export private key: means you can export or backup the mnemonic phrase or keystore file for future needs.

Privacy policy

Please refer to our Privacy Policy for information on how we collect, use and disclose information from our users. You acknowledge and agree that your use of the Services is subject to, and that we can collect, use and/or disclose your information (including any personal data you provide to us) in accordance with our privacy policy.

Changes to Terms of Service

We may modify the Terms at any time at our sole discretion. If we do so, we will publish it through the App without prior notice. The modified Terms will be effective at the time they are posted on the App. It’s important that you review the Terms whenever we modify them because if you continue to use the Services after we have modified the Terms, you are agreeing to be bound by the modified Terms. If you don’t agree to be bound by the modified Terms, then you may not use the Services.

Eligibility

You may use the Services if you are 18 years or older and are not barred from using the Services under applicable law.

Security

You are solely responsible for the retention and security of your wallet credentials, including details relating to your wallet passcode, 12-words mnemonic phrase and keystore file. Your wallet passcode is for any transaction confirmation, your mnemonic phrase and keystore file are the only way to access the digital assets in your CoinWallet. Anyone that has access to your private key can access your digital assets. We will not be liable to you for any losses of access to your wallet should you lose your wallet password, mnemonic phrase and keystore file due to your improper custody (for whatever reason). You are advised to maintain adequate security, measure and control of all your wallet credentials and access to and use of your CoinWallet. We will not be liable to you for any losses or damage resulting from any unauthorized access or use of your CoinWallet.

You acknowledge that CoinsDo does not store your wallet passcode, mnemonic phrase and keystore file. Therefore, we cannot assist with your digital asset retrieval in CoinWallet App. You agree to hold CoinsDo harmless and that CoinsDo shall not be liable in any way in the event you lose your wallet credentials and cannot access your digital assets.

Fees

By using our App, you will be subjected to and be liable to the gas fee. The gas fee refers to the transaction fee that you pay to miners on a blockchain protocol to have your transaction included in the block. Such fee can be adjusted according to your needs if you are not satisfied by its default minimum value.

Feedback

We welcome feedback, comments, ideas, and suggestions for improvements to the Services (“Feedback”). You can submit Feedback by sending us email at cs@coinsdo.com. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.

Ownership, use of our services and technology

CoinsDo exclusively owns all right, title and interest in the CoinWallet App and the proprietary technology (unless otherwise specified), including our software, algorithms, user interface designs, architecture, documentation (both printed and electronic), network designs, know-how, trade secrets and including any modifications, improvements, and derivative work thereof (“Technology”). You acknowledge that the Services and Technology are protected by copyright and trademark. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Technology.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Services or Technology.

General Disclaimers

You acknowledge and agree that by confirming the sending of your digital assets you have checked and confirm that the recipient wallet address supports the type of digital asset or token you are sending, is compatible with the token standard of the digital asset or token you are sending, is a valid address, and is the correct recipient address. We are not liable for any losses of your digital asset and will not assist in retrieving such lost digital asset if you fail to do so.

Warranty Disclaimers

THE COINWALLET APP AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE COINWALLET APP AND UNDERLYING SOFTWARE OR ANY CONTENT ON THE SERVICES, WHETHER PROVIDED OR OWNED BY US, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES REGARDING QUALITY, STABILITY, SUITABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM VIRUS AND ERROR. IN ADDITION, WE DO NOT REPRESENT OR WARRANT THAT THE CONTENT ACCESSIBLE VIA THE COINWALLET APP IS ACCURATE, COMPLETE, RELIABLE, CURRENT, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OF USING THE SERVICES WILL MEET YOUR PURPOSE OR REQUIREMENTS. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE COINWALLET APP AND RELATED SERVICES ARE AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFECT IS WITH YOU.

Indemnity

You will indemnify and hold harmless CoinsDo and its officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or use of the Services or (ii) your violation of these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, COINSDO SHALL NOT BE LIABLE FOR DAMAGES OF ANY TYPE, WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES ALLEGEDLY ARISING FROM THE COMPROMISE OR LOSS OF YOUR WALLET CREDENTIALS OR FUNDS, OR LOSS OF OR INABILITY TO RESTORE ACCESS FROM YOUR BACKUP MNEMONIC PHRASE, OR FOR MISTAKES, OMISSIONS, INTERRUPTIONS, DELAYS, DEFECTS AND/OR ERRORS IN THE TRANSMISSION OF TRANSACTIONS OR MESSAGES TO THE ETHEREUM NETWORK, OR THE FAILURE OF ANY MESSAGE TO SEND OR BE RECEIVED BY THE INTENDED RECIPIENT IN THE INTENDED FORM, OR FOR DIMINUTION OF VALUE OF ETHER OR ANY OTHER DIGITAL TOKEN OR DIGITAL ASSET ON THE ETHEREUM NETWORK. COINSDO SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE SERVICES, EVEN IF AN AUTHORIZED REPRESENTATIVE OF COINSDO HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

Downloading our App from the App Stores

Where you download the CoinWallet App from any app store or distribution platform, including but not limited to the Apple App Store and Google Play Store ("Distribution Platform") you agree that:

(a) the Terms are between you and CoinsDo, and not with the provider of the Distribution Platform ("Store Provider");

(b) your use of the CoinWallet App must comply with the Store Provider's then-current Distribution Platform Terms of Service;

(c) the Store Provider is only a provider of the Distribution Platform where you obtained the CoinWallet App;

(d) CoinsDo, and not the Store Provider, is solely responsible for the CoinWallet App;

(e) the Store Provider has no obligation or liability to you with respect to the CoinWallet App or the Terms; and

(f) you acknowledge and agree that the Store Provider is a third-party beneficiary to the Terms as it relates to the CoinWallet App.

Waiver

These Terms shall not be waived in whole or in part except where agreed by all parties in writing.

No failure or delay on the part of any party hereto in exercising any right, power or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right, power or remedy. No right, power or remedy conferred upon or reserved for any party in these Terms is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative.

Entire agreement

These Terms constitute the entire agreement between the parties regarding its subject matter and supersedes and invalidates all other prior representations, arrangements, understandings, and agreements relating to the same subject matter, whether oral or in writing, express or implied. Each party acknowledges that in agreeing to these Terms it does not rely on any statement, representation, warranty, or understanding other than those expressly set out in these Terms.
